BY-LAWS

 

 

Article I

 

Purpose:

The general purpose of the club shall be to promote the safe use, enjoyment and preservation of the Chevrolet Corvette sports car and to share good fellowship with fellow members and their families.

 

Article II

 

Publications:

The publication of the club will be a monthly newsletter prepared and forwarded by the editor of the club.  One (1) copy per family in good standing.

 

Article III

 

Section 1.  Membership:

Membership in the club shall be limited to fifty (50) owners of a Chevrolet Corvette and the family thereof, interested in the purpose of the club as stated.  The original fifty members will be classified as charter members.

 

Section 2.  New members:

A.  Prospective members may join the club upon completion of the application form.

B.  Singles, single couples (both names must be on the membership application) and

      married couples are considered one (1) membership.

C.  New members joining the club between January 1st and August 31st shall pay a

      $30.00 membership fee.

D.  New members joining the club between September 1st and December 31st shall

      pay a $20.00 membership fee good through the end of the current fiscal year.

 

Section 3.  Renewal membership:

If a club member no longer owns a Chevrolet Corvette during any year, that member may renew membership for a maximum of one (1) year to allow time to acquire another Corvette.

 

Section 4.  Fiscal year:

The Fiscal year shall be from January 1st to December 31st.

 

Section 5.  Payment of dues:

Annual dues ($30.00) shall be paid by the 15th day of January.  New members who pay dues after August 31st ($20.00) shall be considered members through the end of the current fiscal year.  Failure to comply with  proper payment of dues will result in a fifteen (15) day grace period.  The individual member and/or family will be dropped from the club roster and mailing list after the next regularly scheduled meeting.

Article IV

 

Voting rights:

All paid members are entitled to one (1) vote. Single majority vote carries.

 

Article V

 

Section 1.  Officers:

Elected officers will consist of President, Vice President, Secretary and Treasurer.  All other members are Directors of the club and eligible for committee service.

 

Section 2.  Selection of officers:

The officers shall be selected from Corvette owners and their spouses only who are in good standing with the club and have been active members for a minimum of six (6) months.  Officers shall be elected by a majority vote of the attending members at the December meeting.  If the officers run unopposed, the Secretary will cast one (1) vote for the office in question.  All officers will assume their duties effective January 1st.

 

Section 3.  Terms of office:

The term of the officers shall be one (1) year.  Officers shall be eligible for consecutive terms in the same office during any period.

 

Section 4.  Officer vacancies:

Officer vacancies shall be filled by appointment from the President, subject to Club approval.

 

Article VI

 

Executive Board:

The officers of the club shall comprise the Executive Board.  The Executive Board shall have the power to act on any issues that serve the best interests of the club.

 

Article VII

Duties of the officers:

 

Section 1.  President:

The club President shall be the Chief Executive Officer.  He or she shall preside at all club functions and meetings, appoint all committees, call special meetings whenever deemed necessary, handle all correspondence and be empowered with the tie breaking vote.

 

Section 2.  Vice President:

The Vice President shall posses all the powers of the President in the event the President is absent.  The Vice President will be the activities chairman for the club functions and account for all club property.

 

Section 3.  Secretary:

The Secretary shall keep the minutes of all meetings and report on same when requested by the presiding officer, maintain and forward an updated roster of members to the newsletter editor.  The Secretary shall assume the newsletter duties in the absence of the editor.

 

Section 4.  Treasurer:

The Treasurer shall receive all monies on behalf of the club and pay all bills properly submitted and authorized for payment in a prompt manner.  The Treasurer must keep accurate records of all transactions and report same when requested by the presiding officer.  The Treasurer must give access of the records and club checkbook to the presiding officer in the absence of the Treasurer.

 

Article VIII

 

Club Meetings:

The club shall hold (1) meeting each month on the second Wednesday of the month.  Committee meetings will be scheduled at the general meetings.

 

Article IX

 

Club Liability:

No member or members will obligate SUN 'N FUN VETTES, INC.  in any manner without prior approval of the President and Vice President.

 

Article X

 

By-Laws:

Proposed additions or deletions to the by-laws must be read at two (2) consecutively scheduled general meetings of the club.  By-law changes will be voted on at the second reading and shall require a two-thirds (2/3) majority vote to be approved.

Article III, Section 2, Paragraph A. (Change to:)

 

Prospective members may join the club only when attending a regularly scheduled meeting upon completion of the application form.

 

Article III,   (Add Section 6:)

 

Section 6.  Member conduct:

Any action deemed unbecoming or in any way damaging to the image or the good name of Sun ‘n Fun Vettes, Inc. by one of it’s members shall be subject to appropriate disciplinary action and/or expulsion by a majority vote of the club.

 

Article V,  Section 2,  Selection of Officers:  (Change to read:)

 

A nominating committee to accept nominations will be appointed by the President in September to present a slate of officers at the November meeting. The officers shall be selected from Corvette owners and their spouses only who are in good standing with the club and have been active members for a minimum of six (6) months.  Officers shall be elected by a majority vote of the attending members at the December meeting.  If the officers run unopposed, the Secretary will cast one (1) vote for the office in question.  All officers will assume their duties effective January 1st.  Two (2) members of the same household will not be permitted on the Executive Board.

Officer vacancies shall be filled by appointment from the President, subject to Board approval, and a two-thirds (2/3) majority vote of the club, for the unexpired term or until the next election of officers.

 

Article VII, Section 3, Secretary:  (Change to read:)

 

The Secretary shall keep the minutes of all meetings and report on same at all monthly meetings, maintain and forward an updated roster of members to the newsletter editor.  The Secretary shall assume the newsletter duties in the absence of the editor.

The Treasurer shall receive all monies on behalf of the club and pay all bills properly submitted and authorized for payment in a prompt manner.  The Treasurer must keep accurate records of all transactions and report same at all monthly meetings.  The Treasurer must give access of the records and club checkbook to the presiding officer in the absence of the Treasurer.  The books of the Treasurer will be audited by a committee appointed by the President or presiding officer at or near the close of the fiscal year.  In the event the office of the Treasurer changes during the year, the books should be audited also.

The Newsletter Editor shall prepare the monthly newsletter and forward to all club members.  The Newsletter Editor shall appoint an assistant who shall assume the newsletter duties in the absence of the editor.
